LeonsDB Individual Contributor License Agreement

Version 1.0

Thank you for your interest in contributing to LeonsDB (the “Project”), owned and maintained by Leoon-X (“we” or “us”). This Contributor License Agreement (“Agreement”) documents the rights you grant to us for your Contributions. It is based on the Apache Software Foundation Individual Contributor License Agreement, with an added right for us to license Contributions under other terms (section 2).

Please read it carefully. You accept it by commenting on your pull request as instructed by the CLA bot. You only need to do this once.

1. Definitions

“You” means the individual who submits a Contribution to us.

“Contribution” means any original work of authorship, including any modifications or additions to an existing work, that you intentionally submit to us for inclusion in the Project, whether by pull request, patch, issue comment or any other form of electronic, verbal or written communication sent to us or our representatives. Communication clearly marked by you as “Not a Contribution” is excluded.

You grant to us, and to recipients of software distributed by us, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense and distribute your Contributions and such derivative works.

You further agree that we may license your Contributions, as part of the Project or otherwise, under any license terms of our choosing, including licenses other than those the Project uses today, source-available licenses and proprietary commercial licenses.

In return, we agree that every Contribution we accept will also remain available under the license that applied to the part of the Project it was submitted to at the time of submission (for the server, this includes that license’s Change License once its Change Date is reached).

3. Patent license

You grant to us, and to recipients of software distributed by us, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import and otherwise transfer the Project, where such license applies only to those patent claims licensable by you that are necessarily infringed by your Contribution alone or by the combination of your Contribution with the Project. If any entity institutes patent litigation against you or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution, or the Project to which you contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution end as of the date such litigation is filed.

4. Your representations

You represent that:

  1. You are legally entitled to grant the above licenses. If your employer has rights to intellectual property you create, you have received permission to make Contributions on its behalf, or your employer has waived such rights for your Contributions.
  2. Each of your Contributions is your original creation. If you include work by others, you identify it, its license, and its author in the pull request.
  3. To your knowledge, your Contributions do not violate any third party’s rights.

5. No obligation, no warranty

We are not required to use your Contribution. Unless required by applicable law or agreed to in writing, you provide your Contributions on an “AS IS” basis, without warranties or conditions of any kind, either express or implied, including, without limitation, any warranties or conditions of title, non-infringement, merchantability, or fitness for a particular purpose.

6. Notification

You agree to notify us if you become aware of any facts or circumstances that would make these representations inaccurate in any respect.

This Agreement is a license, not an assignment. You keep the copyright in your Contributions and may use them for any other purpose.

8. Governing law

This Agreement is governed by the laws of the State of Florida, United States of America, without regard to its conflict-of-law rules. Any dispute arising from this Agreement will be brought in the state or federal courts located in the State of Florida, and both parties consent to their jurisdiction.
